Orca Affiliate Referral Program Terms of Service

These Terms and Conditions(“Terms”) govern participation in the affiliate referral program (the“Program”) operated by RecWired Limited, trading as Orca (“Orca”,“we”, “us”, “our”). By participating in the Program, you (“Affiliate”,“Referrer”, or “you”) acknowledge and agree to be bound by these Terms.

1. Eligibility

1.1 The Program is open toindividuals and businesses who:

• are aged 18 years or over (if individuals);
• are resident, registered, or lawfully operating in the United     Kingdom; and
• hold an active Orca account.

1.2 Employees, officers,contractors, or agents of RecWired Limited (and their immediate families) areexcluded from participation.

2. Referral Process

2.1 Orca shall provide eacheligible Affiliate with a unique referral link or code (“Referral Code”).

2.2 A referral (“Referral”) willonly be deemed valid where the referred individual or organisation (“Referee”):

• has not previously held an account with Orca;
• registers with Orca using the Affiliate’s Referral Code; and
• completes the qualifying action specified by Orca from time to time     (for example, the purchase of a course, subscription, or training     package).

2.3 Only one Affiliate may becredited for a given Referee. If multiple Affiliates claim commission for thesame Referee, Orca shall determine in its sole discretion which Affiliate, ifany, is entitled to receive commission.

3. Affiliate Commission

3.1 Subject to clause 2, theAffiliate shall be entitled to commission on qualifying Referrals(“Commission”).

3.2 The Commission rate, paymentfrequency, and minimum payout threshold are set out in Schedule 1(Commission Terms).

3.3 Commission shall only bepayable where Orca has itself received cleared funds from the Referee inrespect of the qualifying transaction. Orca shall have no obligation to payCommission on amounts invoiced but not paid, or on payments later refunded, reversed,or subject to chargeback.

3.4 Commission will becalculated and paid in arrears in accordance with Schedule 1.

3.5 Commission is payable in GBP(£) via the payment method nominated by Orca.

3.6 Commission isnon-transferable, non-assignable, and shall not accrue interest.

3.7 Affiliates are solelyresponsible for declaring and paying any taxes arising from receipt ofCommission.

4. Restrictions and Prohibited Conduct

4.1 The following practices arestrictly prohibited:

• self-referrals or attempts to generate Commission on your own     account;
• referrals made through bulk distribution, unsolicited emails,     spamming, or misleading advertising;
• referrals generated through fraudulent activity, misrepresentation,     or any other conduct which, in Orca’s reasonable opinion, is contrary to     the spirit of the Program.

4.2 Orca reserves the right towithhold, cancel, or reclaim any Commission where it reasonably suspects abreach of these Terms or misuse of the Program.

5. Duration and Termination

5.1 The Program shall commenceon acceptance of these terms and shall continue until terminated by Orca.

5.2 Orca may amend, suspend, orterminate the Program at any time without prior notice.

5.3 Any accrued but unpaidCommission shall only be payable if the underlying Referrals are valid,compliant with these Terms, and Orca has itself received payment from theReferee.

6. Limitation of Liability

6.1 Orca shall not be liable forany indirect, incidental, or consequential loss, or for loss of profits,arising out of or in connection with the Program.

6.2 Nothing in these Terms shallexclude or limit liability for death or personal injury caused by negligence,or for fraud or fraudulent misrepresentation.

7. Data Protection

7.1 Personal data collected inconnection with the Program will be processed in accordance with Orca’s PrivacyPolicy, available at [insert link].

7.2 By participating in theProgram, you consent to Orca processing your personal data for the purposes ofadministering the Program.

8. Governing Law and Jurisdiction

8.1 These Terms and any disputeor claim arising out of or in connection with them shall be governed by andconstrued in accordance with the laws of England and Wales.

8.2 The courts of England andWales shall have exclusive jurisdiction to settle any dispute or claim arisingfrom or in connection with these Terms.

Schedule 1 – Commission Terms

• Commission Rate: As specified on the     Orca affiliate signup page at the time of joining the Program.
• Payment Frequency: Commission shall be     calculated and paid quarterly (every three months) in arrears.
• Minimum Payout Threshold: Commission payments     shall only be made where the accrued Commission is equal to or greater     than £100. Amounts below this threshold will be rolled over to the next     payment period.
• Payment Condition: Commission is only     payable once Orca has received cleared funds from the Referee in respect     of the relevant transaction(s). No Commission shall be payable on unpaid,     refunded, or reversed transactions.
